Terms of the partner programme

Working draft. It requires review by a lawyer before publication — these are contract terms, not marketing content.

This document sets out the rules of all three paths: the commission path, the no-commission path and the white-label path.

§1. Definitions

  • Organiser — Konrad Barejko Digital Vantage, ul. Andriollego 34, 05-400 Otwock, Poland, NIP 5321813962.
  • Partner — an entity that has joined one of the three paths of the programme.
  • Submission — the Partner's sending of a form identifying the company whose use of the Organiser's services the Partner intends to recommend.
  • Referred Company — the company identified in the Submission.
  • Project — a contract concluded between the Organiser and the Referred Company as a result of the Submission.
  • Stage — a part of the Project covered by a separate invoice.

§2. Three paths

The programme is run in three independent paths:

  • Commission path — for accounting firms, tax advisers, photographers, copywriters, integrators, grant advisers and agencies.
  • No-remuneration path — for advocates' and legal advisers' firms and notaries. Under this path the Partner receives no benefit of any kind, whether monetary or in kind.
  • White-label path — for agencies commissioning delivery under their own brand; settled by a discount on the Organiser's rates, not by commission.

§3. Submission and protection

  • A Submission is made through the form, before the Organiser's first contact with the Referred Company.
  • The Organiser confirms acceptance or rejection of the Submission within 1 working day, stating the reason for rejection.
  • Priority is decided by the date and time the Submission is received.
  • Protection of a Submission lasts 6 months from confirmation and is extended automatically for as long as talks with the Referred Company continue.
  • The Partner does not pass the Referred Company's personal data to the Organiser. Contact is initiated by the Referred Company.

§4. Exclusions

A Submission is rejected if the Referred Company:

  • is a client of the Organiser at the time of the Submission,
  • is in the course of commercial talks with the Organiser,
  • contacted the Organiser within the 24 months before the Submission,
  • was previously submitted by another Partner and the protection of that Submission has not expired,
  • is an entity related to the Partner, or the Partner is its employee or a person who decides on purchases there.

§5. Remuneration

  • The commission is 10% of the net value of each paid Stage, and 12% starting from the third paid Project. The higher rate is permanent.
  • The standard commission limit is PLN 5,000 per Project. For Projects with a net value exceeding PLN 50,000, the amount of the commission is set individually and in writing before the Project begins; it may exceed the standard limit.
  • For technical care agreements the commission is 10% of the fees in the first year and 5% in the second, payable after 90 days of the agreement being in force.
  • Payment is made within 14 days of the Referred Company's payment being credited, on the basis of the Partner's invoice or bill.
  • The commission is due only on amounts actually paid. If a paid amount is refunded to the Referred Company, the corresponding commission is subject to refund.
  • The Partner chooses the form of reward separately for each Submission: a transfer, a credit towards the Organiser's services worth 1.5× the commission, a discount for the Referred Company, or a donation to a cause indicated by the Partner. The choice is made in the Submission form, and it can be changed at the latest until the day the contract with the Referred Company is concluded — after that date the form of reward is binding. The rule follows from the fact that the discount is to be known to the Referred Company before it makes its decision, not after.

§6. End of cooperation

  • Either party may terminate participation in the programme with one month's notice, effective at the end of a calendar month.
  • Submissions confirmed in the 12 months before termination are settled on the existing terms.

§2a. Partner levels

A supplement to §2. The level results from the number of paid Projects and is permanent — it is not reset at the end of the year.

  • Ambassador — from the first Submission. Applies to both companies and natural persons. Commission 10%.
  • Business Partner — from the third paid Project. Commission 12%, a listing in the partner directory, the right to use the designation “DV Business Partner”. This level is available only to entities carrying on a business activity.
  • Strategic Partner — from the sixth paid Project. Commission 12% and a share in the monthly fees, a featured place in the directory and industry exclusivity in a county (powiat), granted for a fixed period.

In the no-remuneration path (§9) separate naming applies: Cooperating Law Firm, Partner Law Firm and Strategic Partner. The designation “Business Partner” is not used in this path, because it would suggest a commercial arrangement that does not exist in it.

EDITORIAL NOTE — to be removed before publication: the numbering of the sections needs a final pass together with the lawyer. Sections 2a and 5a–5c were added after the first version and should be fitted into the continuous numbering.

Questions about the terms

§5a. Method of payment

  • The basis for payment is an invoice or bill issued by a Partner carrying on a business activity. Commission amounts are stated as net values.
  • Payment is made by transfer to the bank account indicated by the Partner, in Polish zloty. The Partner indicates the account once and updates it in writing.
  • Before issuing the document, the Organiser gives the Partner a statement of the amounts due together with the numbers of the Projects and Stages they relate to.
  • Where the reward is a credit towards the Organiser's services or a discount for the Referred Company, no payment is made and no accounting document is issued on the Partner's side.
  • A donation is made by the Organiser directly to the indicated organisation, on behalf of the Partner, together with confirmation of the transfer.

§5b. Minimum payout threshold

The threshold applies only to amounts accruing from monthly fees. Commissions on Project Stages are always paid, regardless of the amount.

  • Commissions on monthly fees accumulate and are payable once they exceed PLN 300 net cumulatively.
  • Regardless of the threshold, the Organiser settles all accumulated amounts once a year, by 31 January for the previous year. The threshold cannot lead to a commission due going unsettled.
  • Amounts below the threshold do not lapse and carry over to the next period.

The reason for the threshold is practical: with technical care in the range of PLN 450–1,500 per month, the commission is PLN 45 to 150. A monthly invoice for PLN 45 costs both sides more work than it is worth.

§5c. Partners who are natural persons

Partners who do not carry on a business activity are subject to separate terms. This follows from a different basis of settlement and different tax obligations, not from different rules on the protection of a Submission.

§7. Nature of the cooperation

The following provisions are intended to exclude the qualification of the cooperation as an agency agreement within the meaning of Article 758 et seq. of the Polish Civil Code, and in particular the arising of a claim for compensatory payment under Article 764³ of the Civil Code.

  • The Partner's role is limited to pointing out a contact. The Partner does not negotiate terms, conclude contracts, hold a power of attorney or act permanently on behalf of the Organiser.
  • The Partner is not entitled to territorial or industry exclusivity, except where expressly granted at the highest level and for a fixed period.
  • The Partner does not undertake to obtain a specific number of Submissions, and the Organiser does not undertake to accept them.
  • The Partner may not be an employee of the Referred Company or a person who decides on purchases on its side.
  • The parties exclude the application to the cooperation of the provisions on the agency agreement to the extent permitted by law.

§8. Personal data and communication

  • The Partner does not pass the Referred Company's personal data to the Organiser. A Submission contains only company data.
  • The Organiser's first contact with a natural person requires that person's prior consent, in accordance with the provisions of the Polish Electronic Communications Law.
  • Data that the Partner processes as a processor on behalf of its own client may not be used for the purposes of the programme.

§9. No-remuneration path

  • A Partner in this path is not entitled to any monetary or in-kind benefit, including a discount on the Organiser's services.
  • Benefits in this path are limited to: a listing in the partner directory, joint expert content, and mutual, non-exclusive referrals.
  • A discount granted on the basis of the Partner's code is due solely to the Referred Company. A discount equal to the commission replaces the standard welcome benefit for the Referred Company (a free audit or three months of technical care) and is not cumulative with it; the Referred Company chooses one of the two.

§10. Access to the preview of Submissions

  • A referral Submission is made through a publicly available form and does not require creating an account.
  • The Organiser informs the Partner of every change in the status of a Submission by email.
  • The Partner receives access to a preview of their Submissions, Stages and settlements through an individual link sent by email, without the need to register or set a password.
  • An account in the partner portal, including billing data and a directory listing, is made available to the Partner from the second submitted Project.

The Organiser does not store personal data of Referred Companies in the portal. A Submission contains only company data, in accordance with §8.

FAQ

Questions about the terms

The date and time the form is received. If the same company is submitted by two people, we settle with the first. Protection lasts 6 months and extends itself for as long as talks with the client continue.

Because the commission is meant to pay for bringing in a client, not for pointing out someone who already came to us. The 24-month window is our decision and is stated plainly so there are no disputes after the fact.

No. The PLN 5,000 limit is the default rate, and for projects above PLN 50,000 net we set the commission individually and in writing before the project starts. A large project usually means a lot of work on the referrer's side too.

Submissions confirmed within 12 months before termination are settled as normal. Ending the programme does not erase work that has already been done.
